Verbum Notes — Terms of Service

Please read carefully. These Terms of Service (“Terms”) are a binding agreement between you (“you”, “your”, “User”) and Verbum Notes (“we”, “us”, “our”) governing your use of the Verbum Notes mobile application, website, and related services (collectively, the “Service”). By downloading, accessing, or using the Service you agree to these Terms. If you do not agree, do not use the Service.
1. Definitions
Account — the account you create to use certain features of the Service.
Content — audio recordings, transcripts, notes, text, images, metadata, and other materials that you upload, create, store, or process using the Service.
User Content — Content submitted or generated by you (not including content we create).
Paid Features — subscription, in-app purchases, or otherwise paid functionality described in the Service.
Privacy Policy — our privacy policy, available on our website and in the app. Your use of the Service is also governed by the Privacy Policy.
2. Acceptance of Terms
By creating an Account or using the Service you represent that you are at least 16 years old (or the minimum age required in your jurisdiction) and have the legal capacity to enter into these Terms. If you use the Service on behalf of an entity, you represent and warrant that you have authority to bind that entity to these Terms.
3. Changes to Terms
We may modify these Terms from time to time. When we make material changes, we will notify you (e.g., in-app, by email) and update the “Last updated” date above. Continued use after notice constitutes acceptance of the updated Terms.
4. The Service
Verbum Notes is a voice-recording and note-management service. The Service includes features for transcription, search, and organization. It also offers optional, advanced features powered by third-party services, such as voice-to-text transcription and AI-powered content generation (e.g., summarization, analysis). Features and availability may vary by device, region, and subscription tier. We may add, modify, or remove features at our discretion.
5. Account Registration & Security
You must provide accurate information when creating an Account and keep it updated. You are responsible for maintaining the security of your Account credentials and for all activity that occurs on your Account. Notify us immediately at privacy@verbumnotes.com if you suspect unauthorized access.
6. Consent to Record & User Responsibility
You must obtain any third-party consent required by law before recording conversations with other people. Laws regarding recording consent differ by jurisdiction; failure to obtain required consent is solely your responsibility. By using recording features, you confirm you will only record in compliance with applicable law.
7. User Content — Ownership & License
You retain ownership of your User Content.
By uploading, creating, or otherwise submitting User Content, you grant us a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify, and display the User Content solely for the purpose of operating, providing, and improving the Service.
This license explicitly includes the right for us to transmit your User Content to, and process it with, third-party services (such as AI and speech-to-text providers) as necessary to provide you with the features you choose to use. This license ends when you delete your Content from our systems, except to the extent copies remain in backups or we are required to retain them for legal reasons.
You represent and warrant that you have all rights necessary to grant this license.
8. Prohibited Uses
You shall not use the Service to:
Violate any law (including recording laws, privacy laws, or intellectual property rights).
Upload, store, or transmit content that is unlawful, defamatory, obscene, or infringes third-party rights.
Use AI-powered features to generate content that is unlawful, harmful, deceptive, or violates the acceptable use policy of our third-party AI service providers.
Attempt to probe, scan, or test the vulnerability of any system or network or circumvent security measures.
Use the Service to build a competing product or scrape data.
We may suspend or terminate Accounts that violate these rules without notice.
9. Paid Subscriptions, Billing & Refunds
Paid Features and pricing are described in the App or on our website. By subscribing, you authorize recurring charges and agree to the billing terms presented at purchase. All fees are non-refundable except as required by law or as stated in the applicable offer. You may cancel subscriptions via your device's app store or through your Account settings.
10. Trials & Promotions
Free trials or promotional offers may be provided at our discretion. If you do not cancel before the trial period ends, you will be automatically charged for the subscription.
11. Intellectual Property
All rights, title, and interest in the Service (including software, design, and trademarks) are owned by or licensed to us. You may not copy, modify, or reverse engineer the Service except as permitted by law.
12. Third-Party Services & AI Integrations
The Service integrates with and relies on third-party services, including cloud hosting providers and AI/Large Language Model (LLM) providers (such as Google, OpenAI, etc.) to deliver features like transcription and AI-powered analysis.
By using these features, you acknowledge and agree that your User Content will be sent to these third parties for processing.
Your use of these integrated features is subject not only to these Terms but also to the terms and policies of those third-party providers.
We are not responsible for the practices, content, accuracy, or reliability of any third-party service or the content they generate. AI models may produce inaccurate, incomplete, or offensive content. You agree to use AI-generated content at your own risk.
13. Privacy
Our collection and use of personal data is described in our Privacy Policy, which is incorporated by reference into these Terms.
14. Security & Data Loss
We implement commercially reasonable security measures, but no system is perfectly secure. We are not responsible for unauthorized access or data loss unless caused by our gross negligence or willful misconduct. You are responsible for maintaining your own backups of important Content.
15. DMCA / Copyright Claims
If you believe your copyrighted work has been infringed upon, please contact our designated agent at privacy@verbumnotes.com with a notice compliant with the DMCA.
16. Warranty Disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE SPECIFICALLY DISCLAIM ANY WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR APPROPRIATENESS OF ANY INFORMATION OR CONTENT GENERATED BY AI-POWERED FEATURES.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR: (A) ANY INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, OR PUNITIVE DAMAGES; (B) ANY LOSS OF PROFITS, REVENUE, OR DATA; OR (C) ANY AMOUNT IN EXCESS OF THE GREATER OF (I) NZ$200 OR (II) THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM. THIS INCLUDES, WITHOUT LIMITATION, DAMAGES ARISING FROM YOUR USE OF OR RELIANCE ON ANY THIRD-PARTY SERVICE OR AI-GENERATED CONTENT.
18. Indemnification
You agree to indemnify and hold harmless Verbum Notes and its affiliates from any claims, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your violation of these Terms; (b) your User Content; (c) your failure to obtain required consents for recordings; or (d) your use of the Service.
19. Termination & Suspension
We may suspend or terminate your Account for violations of these Terms. You may terminate your Account at any time. Upon termination, we will handle your Content in accordance with our Privacy Policy.
20. Governing Law & Dispute Resolution
These Terms are governed by the laws of New Zealand. You agree to the exclusive jurisdiction of the courts located in New Zealand to resolve any dispute.
21. Complaints & Regulatory Rights
You have the right to complain to relevant regulatory bodies, such as the Office of the Privacy Commissioner in New Zealand or your local data protection authority in the EU/UK. We encourage you to contact us first to resolve any issues.
22. Export Controls & Compliance
You agree to comply with all applicable export and import control laws.
23. Miscellaneous
These Terms and the Privacy Policy constitute the entire agreement between you and us. If any provision is found unenforceable, the remaining provisions will remain in effect. We may assign our rights under these Terms in connection with a merger or sale of assets.
